5. THE GOVERNING BODIES OF THE ASSOCIATION AND THEIR POWERS

5.1.The Association governing bodies are:

Convention of the Association;

Administrative Board of the Association;

5.2. The highest governing body is Convention of the Association members. It is called by initiative of the Administrative Board when deemed necessary but at least one time in two years.

The Convention is called to discuss pressing problems of technical education in their organizational, academic or practical aspects.

Extraordinary Convention may be called on demand of 1/2 of chapters or by decision of the Administrative Board taken by the 2/3 majority of the listed membership by open vote.

To hold the Convention, the Administrative Board sets up an organizing committee.

5.3. Delegates to the Association Convention are elected by simple majority of the members present at Conferences (General meetings) of regional chapters in open vote.

5.4. The Convention is authorized to take decisions when more than half of the elected delegates are present. Rate of representation, date and place, and the agenda of the Convention are determined by the Administrative Board and are announced to the members not later than two months before the opening of the Convention.

The Convention decision is taken by simple majority of its delegates' votes. The voting procedure is determined by the Convention unless otherwise provided in this Charter.

5.5. The Convention of the Association takes decisions on any questions relating to the Association;s activities. Within its exclusive competence lay the following questions:

  • defining main directions and ongoing tasks of the Association activities, approval of the Association's programs;
  • approval , making amendments to, and consequent state registration of the Charter according to the established order (requires 2/3 votes of the present delegates);
  • election, for a four- year term, of the Administrative Board;
  • election, for a four- year term, of President, Vice President, General Director of the Association;
  • election, for a four- year term, of Auditing Committee;
  • consideration and approval of reports of the Administrative Board, General Director and Auditing Committee, report of the editor of the professional journal;
  • approval of symbols and attributes of the Association with their subsequent state registration according to the established order;
  • decisions on reorganization or liquidation of the Association (requires 2/3 votes of the present delegates in open vote).

5.6. The Administrative Board elected by the Convention for a two-year term serves as the governing body of the Association in periods between Conventions. The Convention decides on the number and personal membership of the Administrative Board with a view to representation of regional chapters and public associations - members of the Association. 1/3 of the members are renewed each two years.

5.7. The Administrative Board holds its sessions at least once a year. The session is announced not later than one month in advance. The sessions are authorized to take decisions if they gather more than half of the members. Decisions are taken in open vote by simple majority of the present members (unless otherwise provided by this Charter).

5.8. The Administrative Board of the Association:

  • works out main directions of activity and programs of the Association;
  • arranges realization of the decisions taken at the Convention;
  • approves annual theme plan of the Association activity;
  • removes from and co-opts to its membership new members to replace the leaving within the general number of the Administrative Board members subject to consequent approvals of the next Convention (requires 2/3 of the present members' votes);
  • arranges for studying, generalization and dissemination of positive experience in the field of technical education, elaborates methodological materials;
  • considers scientific papers and reports of the Association members on actual problems of technical education and, following their discussion, takes appropriate recommendations.
  • accepts to and excludes from the membership of the Association;
  • takes decisions on amount, terms and order of payment of entrance, membership and special-purpose fees;
  • elects nominated honorary members of the Association ( decision is taken by 2/3 majority of the listed membership by open or close vote as determined by the Administrative Board);
  • establishes regional chapters, opens branches and offices of the Association in Russia and abroad, coordinates their functioning;
  • considers and approves reports of heads of regional chapters, branches and offices of the Association;
  • sets up committees, councils, workgroups on issue areas of the Association activity not constituting juridical persons, considers and approves their annual reports;
  • approves Regulations, instructions and other documents regulating activities of the Associations;
  • administers international activity of the Association;
  • maintains contacts of the Association with national and international academic and other public associations, works out and realizes joint programs and projects;
  • decides on participation of the Association in other public associations, including international;
  • delegates the Association members to international, national and regional congresses, conventions, conferences, symposiums, meetings to discuss actual issues of engineering education in Russia;
  • organizes and holds congresses, plenums, symposiums, conferences, expositions, competitions on relevant themes;
  • decides on material stimulation of the Association members for significant contribution into realization of aims and tasks of the Association;
  • on behalf of the Association awards prizes, premiums, scholarships for outstanding achievement in improvement and development of technical education in Russia;
  • introduces nominations to appropriate state agencies on granting the Association members with state premiums, awards, titles in science;
  • designs symbols and attributes of the Association;
  • prepares and calls Conventions;
  • approves annual budget, financial plan and report of the Association;
  • establishes economic partnerships and companies with rights of juridical person;
  • takes care of development of the material foundation of the Association;
  • approves publishing plans, appoints editors-in-chief and editorial staff of the Association's printed organs;
  • approves amount of funding for the staff of the Directorate General;
  • gives assignments to members of the Administrative Board and Association, supervises over their realization;
  • reports to the Convention on the accomplished work;
  • decides on other questions of the Association activities outside the sphere of the exclusive competence of the Convention.

5.9. President of the Association is elected by the Convention for a two-year term. President may be repeatedly re-elected to the new term. President is a member of the Administrative Board.

5.10. President of the Association:

  • performs general direction over functioning of the Association;
  • presides over sessions of the Convention;
  • directs work of the Administrative Board, chairs its sessions, allocates responsibilities of the Administrative Board members; ;
  • represents the Association in its relations with federal and local government, Russian and foreign physical and juridical persons, without need for authorizing documents;
  • on behalf of the Association makes contracts, agreements, conducts negotiations, legal transactions, acting solely in the interest of the Association;
  • signs executive documents and agreements with regional chapters;
  • administers property and money funds of the Association, has the right of the first signature on financial documents, opens bank accounts, issues authorizing documents;
  • presents annual reports to the Administrative Board on the accomplished work;
  • performs other functions not within the competence of other organs;

5.11. Vice-President of the Association is elected by the Convention for a two-year term and may be repeatedly re-elected to the new term. Vice-President is a member of the Administrative Board.

5.12. Vice-President of the Association:

  • in the absence of President by his/her designation performs President's responsibilities;
  • represents the Association in its relations with federal and local government, Russian and foreign physical and juridical persons, without need for authorizing documents;
  • on behalf of the Association conducts negotiations, makes contracts, agreements, legal transactions, issues authorizing documents; acting solely in the interest of the Association;
  • fulfills particular assignments of the Administrative Board and President of the Association;
  • performs other functions not within the competence of other organs;

5.13. Executive body of the Association is the Directorate General headed by General Director who is elected by the Convention for a two-year term. General Director is a member of the Administrative Board.

5.14. General Director:

  • administers organizational, business and financial activities of the Association;
  • represents the Association in its relations with federal and local government, Russian and foreign physical and juridical persons, without need for authorizing documents;
  • opens bank accounts, performs operative management of the property and monetary funds of the Association with required notification of the Administrative Board at its next meeting, has a right to sign financial documents;
  • appoints deputies of the General Director;
  • approves the staff budget, salaries of the Directorate General staff, determines amounts of bonuses, sets penalties on the staff workers, hires and fires staff of the Directorate General, approves position instructions and rules of work;
  • presents, on behalf of the Association, claims and lawsuits to juridical persons and individuals;
  • arranges for realization of the decisions taken at the Convention and by other governing bodies;
  • makes annual, before the Administrative Board, and biannual, before the Convention, reports on the accomplished work;
  • performs other functions not within the competence of other organs.
