7.   STRUCTURE OF THE ASSOCIATION

7.1. The Association structure is composed of its regional chapters, branches and foreign offices.

Regional chapter, branches and offices may be set up in Russia and abroad.

7.2. Regional chapters of the Association function according to this Chapter as well as their own chapters, unless they contradict the former.

Regional chapter may constitute juridical person from the moment of its registration in the established order.

Regional chapter founded in the territory of the Russian Federation and functioning according to this Chapter, acquires the status of juridical person in the established order if the Administrative Board notifies the appropriate juridical organ of the respective subject of the Federation.

7.3. The highest governing body of a regional chapter is Conference (General meeting of its members) called at least one time a year. Extraordinary Conference (general meeting) of a regional chapter may be called by decision of the regional President or demand of at least 1/3 of the members. The date, place and agenda for the Conference (general meeting) of a regional chapter are announced not later than one month in advance.

The Conference (general meeting) is authorized to take decisions when more than half of the elected delegates are present. Decisions are taken by simple majority of the present delegates (members of the chapter). The voting procedure is determined by the Conference (general meeting).

7.4. The Conference (general meeting) of the Association;s regional chapter may decide on any questions relating to the chapter's activities.

Within the exclusive competence of the Conference (general meeting) lie defining of the main directions of work, approval of programs, election of Chairman, Vice Chair, Secretary, Auditing Committee (Auditor), Treasurer of the chapter, approval of annual report of the chapter Chairman, decisions on creation, reorganization, liquidation of the chapter, joining and exclusion from the Association, election of delegates to the Convention.

7.5. The Administrative Board of the regional chapter is elected by the Conference (general meeting) for the term of two years and acts as standing governing organ in the period between the Conferences (general meetings) of the chapter.

Meetings of the Administrative Board are held when necessary but at least one time in three months and are authoritative if more than half of the Administrative Board members are present. Decisions are taken by simple majority of the present members in open vote.

The Administrative Board administers all kinds of the chapter activity exempt the questions within the exclusive competence of the Conference (general meeting).

7.6. Work of the regional chapter is directed by a Chair elected by the Conference for the term of two years. The Chair may be repeatedly re-elected for the new term. The Chair presents annual report on his work and that of the chapter to the Conference (general meeting) and the Administrative Board of the regional chapter.

7.7. The Vice Chair of the regional chapter is elected by the Conference (general meeting) for the term of two years. The Vice Chair acts as deputy of the Chair in the absence of the latter and fulfill specific assignments of the Chair.

7.8. Auditing Committee (Auditor) of the regional chapter is elected by the Conference (general meeting) for a two-year term and acts as the controlling organ of the chapter.

Auditing Committee (Auditor) performs annual auditing of financial activity of the chapter and presents the report for approval of the Conference (general meeting). The financial report approved by the Conference is sent to the President of the Supervisory Committee of the Association.

7.9. The Association holds rights to found Branches and open Offices.

7.10. The Branch of the Association is its detached unit carrying out all or part of its functions including those of representation.

7.11. Office of the Association is its detached unit located outside the territory of its location representing and protecting the interests of the Association.

7.12. Heads of branches and offices are appointed by the Administrative Board.

7.13. Branches and offices do not constitute juridical persons and are allocated property by the Association. The property of branches and offices is accounted for in their own separate balances and the balance of the Association.

7.14. Branches and offices act on behalf of the Association. The Association bears all responsibility for activities of its branches and offices.
